Terms of Service

1. Introduction and Acceptance

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and In2ition AI, Inc., a Delaware corporation ("Company," "we," "us," or "our"), governing your access to and use of our website at in2ition.ai (the "Site"), the In2ition AI Platform, the In2ition AI CRM, and all related services (collectively, the "Services").

2. Relationship to Master Use Agreement

If you have executed a Master Use Agreement ("MUA") with In2ition AI, Inc., these Terms are supplemental. In the event of conflict, the MUA controls with respect to Services covered by that agreement. These Terms govern general use of the Site, access to Services not covered by an MUA, trial access, and use by non-MUA users.

3. Definitions

"Site" means in2ition.ai and associated subdomains. "Services" means the In2ition AI Platform, CRM, and all related applications. "Content" means all materials available through the Services. "User Content" means data you submit through the Services. "AI Services" means AI, ML, or automated processing features. "MUA" means any separate written agreement governing paid subscription access.

4. Eligibility and Account Requirements

You must be at least 18 years old with legal capacity to enter binding contracts. If using on behalf of a business, you represent authority to bind that entity. You are responsible for maintaining account credential confidentiality and all activities under your account.

5. Geographic Scope

The Site and Services are primarily intended for use within the United States. You are responsible for compliance with applicable local laws.

6. Acceptable Use Policy

You may use the Services only for lawful purposes. You agree not to violate laws, use Services for fraud, transmit malware, reverse engineer, circumvent security, impersonate others, use unauthorized bots, or resell access. If using AI communication features, you agree to comply with TCPA, CAN-SPAM, and all applicable telecommunications laws.

7. AI Services Terms

AI Services utilize AI and ML technologies. You acknowledge AI may produce inaccurate outputs, should be reviewed by qualified personnel, is not a substitute for professional advice, and performance may vary. Our AI services are provided through SOC 2 Type II certified providers. Your data is not used to train general AI models without explicit consent. You are responsible for reviewing and validating AI-generated outputs.

8. User Content

You retain ownership of User Content. By submitting, you grant us a non-exclusive, worldwide, royalty-free license to use, process, store, and transmit such content solely to provide the Services. You represent you have necessary rights and Content complies with applicable laws.

9. Privacy and Data Collection

Use of the Services is governed by our Privacy Policy, incorporated by reference. You consent to cookies, identity resolution technology, AI processing of communications, and outreach via voice, text, email, or digital communication.

10. Intellectual Property Rights

All Content, trademarks, and IP on the Site are exclusive property of In2ition AI, Inc. We grant you a limited, non-exclusive, non-transferable, revocable license to access the Services for internal business purposes. Feedback you provide grants us a perpetual, worldwide, royalty-free license to use it.

11. Confidentiality

You agree to maintain confidentiality of non-public information disclosed in connection with the Services, including pricing, technical specifications, security documentation, and business information.

12. Third-Party Services and Links

The Services may contain third-party links and integrations. We are not responsible for third-party content, privacy practices, or availability.

13. Service Availability

Unless specified in an MUA, Services are provided "as available." We do not guarantee specific uptime. We may modify, suspend, or discontinue any aspect without notice. We are not liable for failures due to force majeure events.

14. Disclaimers

THE SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. AI-GENERATED OUTPUTS MAY NOT BE ACCURATE OR APPROPRIATE FOR YOUR USE CASE.

15. Limitation of Liability

IN NO EVENT SHALL IN2ITION AI, INC. BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF AMOUNTS PAID IN THE PRECEDING 12 MONTHS OR $100.

16. Indemnification

You agree to defend, indemnify, and hold harmless In2ition AI, Inc. from claims arising from your use of the Services, User Content, or violations of these Terms.

17. Term and Termination

These Terms are effective upon first access and continue until terminated. You may terminate by discontinuing use. We may suspend or terminate access at any time, with or without cause. Surviving provisions include IP rights, disclaimers, limitation of liability, and dispute resolution.

18. Governing Law and Dispute Resolution

Governed by Delaware law. Disputes resolved through binding arbitration by the AAA in Delaware. You waive class action rights. Either party may seek injunctive relief for IP or confidentiality matters.

19. Changes to These Terms

We may modify these Terms at any time. Changes are effective upon posting. Continued use constitutes acceptance.

20. General Provisions

These Terms with the Privacy Policy and any MUA constitute the entire agreement. Invalid provisions are modified to minimum extent necessary. Our failure to enforce is not a waiver. You may not assign without consent. Notices via email or Site posting.
